1. Acceptance of Terms
By accessing www.northern-valley.com or engaging the services of Northern Valley Investments ("Northern Valley", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

3. Client Responsibilities
To enable us to deliver services effectively, clients agree to:
• Provide accurate and complete project briefs, content, and materials in a timely manner
• Designate a primary point of contact with authority to approve work
• Provide feedback and approvals within agreed timelines
• Ensure all materials supplied do not infringe third-party intellectual property rights

4. Payment Terms
Payment terms are specified in individual service agreements. Generally:
• A deposit (typically 50%) is required before work commences
• The remaining balance is due upon project completion or as agreed in milestones
• Invoices are payable within 14 days of issue unless otherwise agreed
• Late payments may attract interest at 2% per month on the outstanding amount

5. Intellectual Property
Upon receipt of full payment, the client receives ownership of the final deliverables created specifically for their project. Northern Valley retains ownership of:
• Pre-existing tools, frameworks, templates, and code libraries used in delivering the work
• Internal processes and methodologies Northern Valley reserves the right to display completed work in its portfolio unless the client requests confidentiality in writing.

6. Revisions and Scope Changes
Each project proposal includes a defined number of revision rounds. Requests that fall outside the agreed scope will be quoted separately. Significant scope changes require a written amendment to the service agreement.
7. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care. We do not guarantee specific business outcomes (e.g. search rankings, sales figures, or traffic levels) as these depend on many factors outside our control.
Our website is provided on an "as is" basis. We make no warranties regarding uninterrupted availability or freedom from errors.
8. Limitation of Liability
To the maximum extent permitted by Namibian law, Northern Valley's liability for any claim arising from our services is limited to the fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit damages.
9. Termination
Either party may terminate a service agreement with 14 days written notice. Upon termination, the client is liable for payment of all work completed up to the termination date. Deposits are non-refundable unless Northern Valley is in material breach.
10. Governing Law
These Terms are governed by the laws of the Republic of Namibia. Any disputes shall be subject to the jurisdiction of the courts of Namibia.

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
